Use our applications for their intended purpose and in accordance with the law. Subscriptions are billed by the app store and renew automatically until cancelled. We provide our services with reasonable skill and care but without warranty that they will be uninterrupted or error-free. Nothing in this document limits the statutory rights of consumers.
1. This agreement
These Terms of Use (the “Terms”) constitute a binding agreement between you and CHAT GPT LTD, a company registered in Scotland under company number SC866955 (“we”, “us”, “our”). They govern your use of this website and of each application and service we publish (together, the “Services”).
By downloading, installing, accessing or using the Services you accept these Terms and our Privacy Policy. If you do not accept them, you must not use the Services. Our applications are additionally licensed to you under the End User Licence Agreement, which forms part of this agreement.
2. Eligibility
You must be at least 13 years of age, or the minimum age of digital consent in your jurisdiction if higher, to use the Services. If you are under the age of majority where you live, you confirm that a parent or guardian has reviewed and accepted these Terms on your behalf. You must not use the Services if you are prohibited from doing so under any applicable law or sanctions regime.
3. Licence
Subject to your compliance with these Terms and with the usage rules of the app store from which you obtained the application, we grant you a personal, limited, non-exclusive, non-transferable and revocable licence to use the Services on devices you own or control for your own non-commercial purposes. All rights not expressly granted are reserved to us and our licensors.
4. Restrictions
You must not:
- reverse-engineer, decompile or disassemble any application, or attempt to derive its source code, except to the extent such restriction is prohibited by applicable law;
- copy, resell, sublicense, rent, lease or otherwise redistribute the Services;
- use the Services to commit an offence, infringe the rights of any person, or create unlawful, harassing, defamatory or deliberately misleading material;
- interfere with the operation of the Services, probe or attack our infrastructure, or circumvent any security, licensing, entitlement or payment mechanism;
- employ automated systems to scrape, index or place unreasonable load on the Services; or
- remove, obscure or alter any copyright, trade mark or other proprietary notice.
We may suspend or terminate access where these restrictions are breached.
5. Your content
You retain ownership of all content you create using our applications. You grant us only the limited, royalty-free licence necessary to operate the feature you have requested — for example, storing a file so that you can retrieve it, or transmitting content to a service you have selected. You are responsible for ensuring you hold the necessary rights in any content you submit, and for maintaining your own backups.
6. Purchases and subscriptions
- Payments are collected by Apple or Google through your store account. Their terms govern the payment transaction, and we are not party to it.
- Subscriptions renew automatically at the then-current price until cancelled. The renewal charge is taken within the 24 hours preceding the end of the current billing period.
- You may cancel at any time in your store account settings. Cancellation prevents further renewals; access continues until the end of the period already paid for.
- Any unused portion of a free trial period is forfeited on purchase of a subscription.
- Prices may change on reasonable notice. A price increase never applies retrospectively to a period already paid for.
- Refunds are administered by the relevant app store under its own published policy. Guidance is available on our support page.
7. Statutory cancellation rights
Consumers in the United Kingdom and the European Union ordinarily have a 14-day right to cancel a distance contract. In the case of digital content supplied immediately, that right is lost once supply has begun with your express consent and acknowledgement — which occurs when you complete a purchase in an app store. Your statutory rights in respect of digital content that is faulty, not as described or not fit for purpose are unaffected.
8. Changes to the Services
The Services develop over time. We may add, modify or withdraw features, and may discontinue an application entirely. Where we discontinue a paid service, we will give reasonable notice and, where you have paid in advance for a period you can no longer use, provide a proportionate refund of the unused portion.
9. Disclaimer of warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available”. We disclaim all implied warranties and conditions, including satisfactory quality, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure or error-free, or that results obtained from them will meet your requirements. Nothing in this clause affects the statutory rights of consumers.
10. Limitation of liability
To the fullest extent permitted by law, we shall not be liable for indirect, incidental, special, punitive or consequential loss, nor for loss of profit, revenue, data, business or goodwill, whether arising in contract, tort (including negligence) or otherwise. Our aggregate liability arising out of or in connection with the Services shall not exceed the greater of (a) the total amount you paid to us in the twelve months preceding the event giving rise to the claim, or (b) £50.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
11. Indemnity
You agree to indemnify us against reasonable losses, damages and legal costs arising from a third-party claim caused by your unlawful use of the Services or your material breach of these Terms.
12. Termination
You may terminate this agreement at any time by ceasing use of the Services and deleting the applications. We may suspend or terminate your access where you materially breach these Terms or where we are required to do so by law. Clauses which by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and governing law — shall survive.
13. App stores
Apple and Google are not parties to these Terms and bear no responsibility for the Services or for providing support in respect of them. Apple and its subsidiaries are third-party beneficiaries of our End User Licence Agreement and may enforce it against you. Your use of the Services is additionally subject to the applicable app store terms of service.
CHAT GPT LTD is an independent company. All trade marks, product names and company names referenced are the property of their respective owners.
14. Governing law and jurisdiction
These Terms and any non-contractual obligations arising from them are governed by the laws of Scotland, and the courts of Scotland shall have exclusive jurisdiction. If you are a consumer resident elsewhere in the United Kingdom or in the EEA, you retain the benefit of any mandatory protections of the law of your country of residence and may bring proceedings in your local courts.
15. General
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force. A failure to enforce any right does not constitute a waiver of it. These Terms, together with the End User Licence Agreement and the Privacy Policy, constitute the entire agreement between us in respect of the Services. You may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition or transfer of assets.
16. Amendments
We may amend these Terms from time to time. The effective date at the head of this page identifies the current version, and we will give notice of material changes in the application or by email. Continued use of the Services after the effective date constitutes acceptance.
