This is the licence agreement for applications published by CHAT GPT LTD. It operates alongside our Terms of Use and Privacy Policy, and is the document referenced as the licence agreement URL in App Store Connect and Google Play Console.
1. Grant of licence
CHAT GPT LTD, a company registered in Scotland under company number SC866955 (the “Licensor”), grants you a non-transferable licence to use the application (the “Licensed Application”) on any device that you own or control, as permitted by the Usage Rules of the app store from which it was obtained. The Licensed Application is licensed, not sold, to you.
2. Scope of licence
The licence is personal and non-exclusive. You may not distribute the Licensed Application over a network where it could be used by multiple devices simultaneously, and you may not transfer, redistribute or sublicense it. If you dispose of your device, you must first remove the Licensed Application from it.
3. Restrictions
You may not copy the Licensed Application except as expressly permitted by this licence, nor reverse-engineer, decompile, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application or any part of it, save to the extent that such restrictions are prohibited by applicable law or permitted by the licence terms governing any open-source components incorporated in it.
4. Services and data
The Licensed Application may provide access to services operated by the Licensor or by third parties. You agree to use such services at your own risk and not for any unlawful purpose. Processing of personal data is described in our Privacy Policy. Third-party materials made accessible through the Licensed Application are not controlled by the Licensor, and you agree that the Licensor is not liable in respect of them.
5. Term and termination
This licence is effective until terminated by you or by the Licensor. Your rights terminate automatically without notice if you fail to comply with any of its terms. Upon termination you must cease all use of the Licensed Application and destroy all copies in your possession.
6. No warranty
To the maximum extent permitted by applicable law, the Licensed Application is provided “as is” and “as available”, with all faults and without warranty of any kind. The Licensor disclaims all warranties and conditions, whether express, implied or statutory, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy and non-infringement. Certain jurisdictions do not permit the exclusion of implied warranties, so parts of this clause may not apply to you. The statutory rights of consumers are unaffected.
7. Limitation of liability
To the extent not prohibited by law, the Licensor shall not be liable for personal injury or for any incidental, special, indirect or consequential damages whatsoever, including damages for loss of profits, loss of data, business interruption or any other commercial damages or losses, arising out of or related to your use of or inability to use the Licensed Application, however caused and regardless of the theory of liability. The Licensor’s total aggregate liability to you for all damages shall not exceed £50, except where applicable law requires otherwise in cases of personal injury.
8. Export compliance
You may not use or otherwise export or re-export the Licensed Application except as authorised by the law of the United Kingdom, the United States and any other applicable jurisdiction. You represent and warrant that you are not located in any country subject to an embargo, and that you are not listed on any restricted or prohibited party list.
9. Governing law
This licence is governed by the laws of Scotland, excluding its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
10. Additional terms — Apple App Store
The following provisions apply where you obtained the Licensed Application from the Apple App Store, and prevail over any conflicting provision above:
- Acknowledgement. This licence is concluded between you and the Licensor only, and not with Apple. The Licensor, not Apple, is solely responsible for the Licensed Application and its content.
- Scope of licence. The licence granted is limited to a non-transferable licence to use the Licensed Application on any Apple-branded product that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions.
- Maintenance and support. The Licensor is solely responsible for providing maintenance and support in respect of the Licensed Application. Apple has no obligation whatsoever to furnish any maintenance or support services.
- Warranty. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever in respect of the Licensed Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are the sole responsibility of the Licensor.
- Product claims. The Licensor, not Apple, is responsible for addressing any claims relating to the Licensed Application or your possession and use of it, including product liability claims, claims that the Licensed Application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation.
- Intellectual property. In the event of any third-party claim that the Licensed Application or your possession and use of it infringes that third party’s intellectual property rights, the Licensor, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
- Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Contact. Questions, complaints or claims in respect of the Licensed Application should be directed to CHAT GPT LTD at info@chatgptltd.site.
- Third-party beneficiary. You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of this licence, and that upon your acceptance Apple will have the right, and is deemed to have accepted the right, to enforce this licence against you as a third-party beneficiary.
11. Additional terms — Google Play
Where you obtained the Licensed Application from Google Play, your use is additionally subject to the Google Play Terms of Service. Google is not a party to this licence, is not responsible for the Licensed Application, and provides no warranty or support in respect of it. Refunds are administered under Google’s published refund policy.
